ADN TOKEN MANAGEMENT, REWARDS, STAKING & VENDOR SETTLEMENT POLICY

1. Purpose of This Policy
The ADN Token Management, Rewards, Staking & Vendor Settlement Policy (“Policy”) establishes the rules governing the generation, allocation, crediting, holding, staking, utilisation, settlement, adjustment, suspension and cancellation of ADN Tokens within the AddNeo EV Ecosystem.
ADN Tokens are designed primarily as an ecosystem reward and utility mechanism intended to encourage genuine participation in AddNeo’s EV charging, vendor, referral, marketplace and business-network activities.
This Policy is intended to provide a transparent and uniform framework for all eligible AddNeo ecosystem participants.
2. What is ADN Token?
ADN Token (“ADN”) is an ecosystem reward unit issued and recorded by AddNeo through its digital platform.
ADN may be generated through eligible transactions or activities approved by AddNeo, including:
- EV charging transactions;
- eligible vendor transactions;
- approved business/referral activities;
- ecosystem campaigns;
- promotional programmes;
- marketplace transactions;
- other activities specifically notified by AddNeo.
ADN is not a bank deposit, fixed deposit, security, share, equity, bond, guaranteed-return investment, legal tender or deposit-taking product.
The availability and utility of ADN are subject to this Policy, AddNeo’s platform rules and applicable Indian laws and regulations.
3. ADN Ecosystem Principle
The AddNeo ADN model follows four fundamental principles:
EARN → HOLD → STAKE → UTILISE / SETTLE
Participants may:
- Earn ADN through eligible ecosystem activity.
- Hold ADN in their AddNeo account.
- Stake eligible ADN under an applicable staking plan.
- Utilise ADN for eligible AddNeo ecosystem benefits.
- Eligible Vendors may request INR settlement of qualifying ADN directly from AddNeo, subject to the vendor settlement rules contained in this Policy.
4. Who Can Earn ADN?
ADN may be credited to eligible verified AddNeo ecosystem accounts, including:
A. EV Users
Users who complete eligible EV charging transactions.
B. Vendors
Registered and verified vendors participating in the AddNeo marketplace/ecosystem.
C. Business Referral Partners
Eligible business referral partners completing qualifying activities.
D. Sales / Channel Partners
Approved AddNeo business channels participating in eligible transactions.
E. Other Ecosystem Participants
Any other category specifically approved and published by AddNeo.
Eligibility, earning rate and applicable conditions may differ by participant category.
5. ADN Generation from EV Charging
For eligible EV charging transactions, ADN may be generated according to the active AddNeo reward programme.
The applicable reward rate will be displayed on the AddNeo platform before or at the time of the eligible transaction.
For example: 1 ADN per eligible kWh charged or such other rate as AddNeo may publish from time to time.
The earning rate is not permanently fixed and may be modified depending upon the AddNeo reward programme, business economics, promotions, transaction category or regulatory requirements.
6. Transaction Validation
ADN shall be generated only against a valid and successfully completed eligible transaction.
A transaction may be considered ineligible where it is:
- cancelled;
- reversed;
- refunded;
- disputed;
- fraudulent;
- duplicated;
- artificially generated;
- created through system manipulation;
- generated through unauthorised access;
- generated through misuse of promotional programmes; or
- otherwise determined by AddNeo to be invalid.
AddNeo may place ADN in a Pending status until the underlying transaction is successfully validated.
7. ADN Crediting
ADN may pass through the following stages:
Transaction Created → Pending → Verified → Credited → Available
ADN shall become available for use, staking or other eligible purposes only after the applicable validation period is completed.
If the underlying transaction is subsequently cancelled, refunded or reversed, AddNeo may reverse the corresponding ADN.
If the account does not contain sufficient ADN for reversal, AddNeo may place the corresponding ADN balance into a negative/adjustment status and recover the amount from future eligible rewards or other amounts payable to the account holder.
8. ADN Ledger
Every eligible account shall maintain an ADN ledger containing, where applicable:
- Opening ADN balance;
- ADN earned;
- ADN pending;
- ADN credited;
- ADN staked;
- Staking rewards;
- ADN redeemed;
- ADN settled;
- ADN reversed;
- ADN expired;
- ADN cancelled;
- Adjustments;
- Closing ADN balance.
The ledger maintained by AddNeo’s system shall be the primary record of ADN transactions, subject to correction of demonstrable technical or accounting errors.
9. ADN Value and Reference Value
ADN may have an internal ecosystem reference value for displaying rewards, benefits or settlement calculations.
Any displayed ADN/INR reference value:
- does not constitute a guaranteed market price;
- does not constitute a promise of future appreciation;
- does not constitute an investment valuation;
- does not guarantee that ADN can always be sold for the displayed value.
AddNeo may change the internal reference value or settlement rate in accordance with its business, financial, regulatory and ecosystem policies.
10. Vendor ADN Settlement Policy
This is a special facility available only to eligible verified AddNeo vendors.
ADN earned by an eligible vendor through genuine qualifying business transactions may be eligible for settlement against INR by AddNeo.
Important:
ADN settlement is not available as a general cash-withdrawal facility to all ecosystem users.
The following participants shall not have an automatic right to convert ADN into INR:
- ordinary EV users;
- referral users;
- general members;
- staking-only participants;
- promotional participants;
- unverified accounts.
Only vendors satisfying AddNeo’s Vendor Settlement Eligibility Requirements may request settlement.
11. Vendor Settlement Formula
For eligible vendor ADN:
Settlement Amount = Eligible ADN × Applicable Vendor Settlement Rate − Applicable Charges / Taxes / Adjustments
Example:
If:
- Eligible ADN = 10,000 ADN
- Applicable settlement rate = ₹1 per ADN
Then:
Gross Settlement = 10,000 × ₹1 = ₹10,000
If applicable charges, tax deductions, reversals or adjustments are ₹500:
Net Vendor Settlement = ₹9,500
The applicable settlement rate shall be displayed or communicated to the vendor before confirmation of the settlement request.
12. Vendor Settlement Conditions
A vendor must:
- maintain an active AddNeo vendor account;
- complete KYC;
- provide valid PAN/GST/bank details wherever applicable;
- have no unresolved compliance issue;
- have generated ADN from legitimate qualifying transactions;
- have no pending chargeback or fraud investigation;
- comply with AddNeo vendor terms;
- satisfy the minimum settlement threshold;
- submit any required invoice, declaration or supporting documentation.
AddNeo may hold or delay settlement where verification, reconciliation, fraud prevention or statutory compliance is required.
13. Vendor Settlement is Not an Investment Return
Vendor settlement represents settlement of qualifying ecosystem rewards generated from eligible business activity.
It must not be interpreted as:
- interest;
- guaranteed investment income;
- assured appreciation;
- fixed return on capital;
- deposit interest;
- dividend;
- financial investment return.
14. ADN Staking Programme
Eligible ADN holders may participate in AddNeo’s staking programme.
Staking means voluntarily locking eligible ADN for a defined period in accordance with an applicable AddNeo staking plan.
Available plans may include:
Basic
Indicative reward rate: 1% APY
- Minimum: 100 ADN
- Flexible / no fixed lock period
- Subject to applicable programme rules
Pro
Indicative reward rate: 8% APY
- Minimum: 500 ADN
- 90-day lock period
- Compounding may apply where specifically enabled
Advance
Indicative reward rate: 12% APY
- Minimum: 1,000 ADN
- 180-day lock period
- Compounding may apply where specifically enabled
The above rates are programme rates and are not guaranteed permanent rates.
15. APY Calculation
Where a staking plan specifies an annual APY, the indicative reward calculation may be represented as:
Annual Reward = Principal ADN × APY
For example, 1,000 ADN staked at 8% APY:
1,000 × 8% = 80 ADN indicative annual reward
Where monthly simple accrual is used:
Monthly Reward ≈ Principal ADN × APY ÷ 12
Therefore: 1,000 × 8% ÷ 12 ≈ 6.67 ADN per month
Where compounding is specifically enabled, the applicable compounding formula may be:
A = P × (1 + r/n)^(nt)
where:
- A = final ADN balance;
- P = initial staked ADN;
- r = annual APY expressed as a decimal;
- n = number of compounding periods;
- t = time in years.
The actual reward credited may vary because of staking activation date, withdrawal date, programme limits, rounding, suspension, early withdrawal and applicable AddNeo rules.
16. APY is Not a Guaranteed Financial Return
The published 8%–12% APY range represents the applicable ADN staking reward rate for an eligible staking programme.
It does not constitute a guarantee of INR returns.
For example, an 8% ADN reward means that the participant may receive ADN rewards according to the staking rules. It does not mean that the participant is guaranteed an 8% increase in INR value.
17. Staking Reward Source
Staking rewards may be funded through AddNeo’s designated ecosystem reward/staking pool and other mechanisms approved by AddNeo.
AddNeo may establish:
- staking pools;
- reward limits;
- maximum annual issuance;
- pool allocation limits;
- individual account limits;
- programme-level limits;
- reward budgets.
Once the relevant reward pool or programme limit is reached, AddNeo may suspend new staking or modify the applicable programme for future stakes.
18. Early Unstaking
Where a staking plan has a lock period, ADN may not be withdrawable until the lock period expires.
Where early unstaking is permitted:
- staking rewards may be reduced;
- pending rewards may be forfeited;
- an early withdrawal fee may apply;
- the principal ADN may be subject to applicable restrictions.
The exact terms shall be displayed before the user confirms staking.
19. Double Reward Protection
The same transaction shall not generate duplicate ADN rewards.
ADN generated through a transaction cannot be repeatedly claimed through multiple reward programmes unless AddNeo specifically permits such stacking.
Where duplicate or incorrect rewards are detected, AddNeo may reverse the excess ADN.
20. Referral ADN
AddNeo may offer ADN referral rewards for qualifying referrals.
A referral reward may become payable only after the referred participant completes the qualifying activity specified in the applicable referral programme.
Referral rewards may be subject to:
- verification;
- minimum activity requirements;
- transaction validation;
- anti-fraud checks;
- monthly limits;
- campaign-specific conditions.
The referral reward currently displayed on the AddNeo ADN page is 50 ADN for a qualifying referral that completes the required first charging activity.
21. Marketplace Utilisation
Where enabled, ADN may be utilised for eligible products, services, charging benefits or other ecosystem offers.
The applicable redemption rate, maximum redemption percentage and minimum transaction value shall be displayed at the time of redemption.
AddNeo may impose category-specific restrictions.
22. ADN Transfer
ADN shall not be freely transferable between user accounts unless AddNeo specifically enables an official transfer facility.
Any unauthorised transfer, sale, exchange or assignment of ADN outside the AddNeo platform may be treated as invalid.
Users must not:
- sell ADN privately;
- broker ADN;
- create unofficial ADN markets;
- represent ADN as currency;
- promise third parties a fixed INR value;
- conduct unauthorised ADN trading.
23. No Guaranteed Market Liquidity
Except for the specific vendor settlement mechanism expressly approved by AddNeo, AddNeo does not guarantee that a participant will always be able to sell, transfer or convert ADN into INR.
Vendor settlement is subject to:
- vendor eligibility;
- available settlement programme;
- applicable settlement rate;
- transaction verification;
- KYC;
- compliance;
- financial reconciliation;
- applicable charges and taxes.
24. Expiry of ADN
AddNeo may introduce expiry rules for promotional or campaign-based ADN.
Where an expiry period applies, it shall be disclosed to the participant at the time of issuance or within the applicable reward terms.
Unless expressly stated otherwise, ADN generated through permanent ecosystem programmes shall remain valid subject to the account remaining active and compliant.
AddNeo may distinguish between:
- promotional ADN;
- referral ADN;
- transaction ADN;
- staking reward ADN;
- campaign ADN.
Each category may have different validity rules.
25. Refund / Cancellation / Chargeback
If a transaction that generated ADN is:
- cancelled;
- refunded;
- reversed;
- charged back;
- determined to be fraudulent;
the corresponding ADN may be reversed.
Where ADN has already been:
- redeemed;
- staked;
- settled;
- transferred through an authorised facility;
AddNeo may make appropriate adjustments to the user’s account or future rewards.
26. Fraud and Abuse
AddNeo maintains a zero-tolerance policy for ADN manipulation.
Examples include:
- fake transactions;
- self-referrals;
- multiple accounts created to exploit rewards;
- automated/bot transactions;
- manipulated charging sessions;
- fake vendor transactions;
- collusive transactions;
- duplicate reward claims;
- unauthorised system access;
- transaction spoofing;
- account sharing;
- false KYC information.
AddNeo may suspend the account, cancel pending ADN, reverse rewards, block settlement and/or permanently terminate participation where fraud or abuse is established.
27. KYC and Compliance
AddNeo may require KYC and other verification before allowing:
- vendor settlement;
- high-value rewards;
- high-value staking;
- withdrawals;
- account upgrades;
- certain ecosystem benefits.
Required documents may include PAN, GST details, bank details, business registration information and other legally permissible information.
28. Taxes and Statutory Deductions
Users and vendors are responsible for complying with their applicable tax obligations.
AddNeo may deduct applicable taxes, withholding amounts, GST-related amounts, fees or statutory deductions wherever legally required.
The tax treatment of ADN may depend upon its legal character and the nature of the transaction.
Users should obtain independent professional tax advice where required.
29. Account Security
Users are responsible for maintaining the confidentiality of:
- mobile number;
- email address;
- password;
- OTP;
- authentication credentials;
- wallet/account access.
AddNeo shall not be responsible for losses resulting from a user’s voluntary disclosure of credentials or negligent account security, except to the extent liability cannot legally be excluded.
30. Suspension of ADN Programme
AddNeo may temporarily suspend ADN earning, staking, settlement, redemption or other functionality where necessary because of:
- technical maintenance;
- security incidents;
- fraud investigation;
- system upgrades;
- financial reconciliation;
- regulatory requirements;
- changes in business policy;
- force majeure;
- legal or governmental directions.
Where reasonably practicable, AddNeo will communicate material changes through the platform.
31. Modification of Reward Rates
ADN earning rates, staking rates, settlement rates, redemption ratios and promotional rewards may change from time to time.
Any new rate shall generally apply prospectively to new eligible transactions or new staking positions unless otherwise required for correction, fraud prevention, regulatory compliance or technical reasons.
Existing locked staking positions shall be governed by the terms displayed and accepted at the time of staking, subject to applicable law and exceptional circumstances.
32. No Promise of Token Appreciation
ADN holders should not purchase goods, services or participate in AddNeo programmes with an expectation that ADN will increase in INR value.
AddNeo does not promise:
- price appreciation;
- guaranteed liquidity;
- guaranteed profit;
- guaranteed resale value;
- guaranteed market value.
ADN is primarily intended to support participation in the AddNeo ecosystem.
33. AddNeo’s Right to Correct Errors
If the AddNeo system incorrectly credits ADN due to:
- technical error;
- software malfunction;
- data duplication;
- calculation error;
- integration failure;
AddNeo may correct the ledger and reverse incorrectly credited ADN.
The objective of such correction shall be to restore the account to the position that would have existed if the error had not occurred.
34. Transaction Limits
AddNeo may establish limits for:
- ADN earned per transaction;
- daily ADN;
- monthly ADN;
- staking amount;
- staking rewards;
- vendor settlement;
- marketplace redemption;
- referral rewards.
Applicable limits shall be displayed or communicated through the platform where appropriate.
35. Vendor Settlement Cycle
Approved vendor settlement requests may be processed according to AddNeo’s designated settlement cycle.
For example:
Settlement Request → Verification → Reconciliation → Approval → INR Bank Transfer
Settlement may be delayed where:
- KYC is incomplete;
- transaction reconciliation is pending;
- bank details are incorrect;
- GST/invoice documentation is required;
- fraud checks are pending;
- chargebacks are unresolved;
- statutory deductions need to be processed.
36. Minimum Vendor Settlement
AddNeo may specify a minimum ADN balance required before vendor settlement can be requested.
For example:
Minimum Settlement Threshold: 1,000 Eligible ADN
The threshold may be modified and the applicable threshold displayed on the Vendor Dashboard.
37. Settlement Rate Transparency
Before a vendor confirms a settlement request, the AddNeo system should display:
- Eligible ADN;
- Settlement Rate;
- Gross INR Value;
- Applicable Fees;
- Applicable Tax/Withholding;
- Adjustments;
- Net Payable Amount;
- Expected Settlement Date/Cycle.
This ensures that the vendor understands the settlement calculation before submission.
38. No Cash Settlement for General Users
For avoidance of doubt:
General ecosystem users cannot demand cash payment from AddNeo merely because they hold ADN.
Only an approved Vendor Settlement Programme creates an eligibility pathway for INR settlement.
ADN held by other participants may be used only through the utilities and programmes made available to their account category.
39. ADN is Not a Deposit
Nothing in this Policy creates:
- a deposit relationship;
- a debtor-creditor relationship for ordinary ADN holdings;
- an interest-bearing bank account;
- a guaranteed investment product;
- a promise to repay principal in INR.
Staking rewards are ecosystem rewards governed by the applicable staking programme.
40. Responsible Participation
Participants should use ADN only for genuine AddNeo ecosystem activity.
Participants should not:
- borrow money to acquire ADN;
- represent ADN as guaranteed income;
- make investment promises to other people;
- promise fixed returns;
- create unofficial ADN investment schemes;
- misrepresent AddNeo’s staking programme as a guaranteed financial product.
41. Account Termination
AddNeo may suspend or terminate an account for:
- fraud;
- misuse;
- violation of this Policy;
- violation of platform terms;
- unlawful activity;
- false KYC information;
- manipulation of rewards;
- unauthorised system access.
Upon termination, pending or promotional ADN may be cancelled where permitted under applicable law and the relevant programme terms.
Legitimate vendor settlement obligations, if any, shall be handled after reconciliation and applicable deductions.
42. Data and Ledger Records
AddNeo may maintain transaction records required for:
- reward calculation;
- vendor reconciliation;
- fraud prevention;
- accounting;
- taxation;
- customer support;
- regulatory compliance;
- audit.
Users may access available transaction history through the AddNeo dashboard.
43. Customer Support and Disputes
Any ADN-related dispute should first be submitted through the official AddNeo customer support mechanism.
The user should provide:
- User ID;
- transaction ID;
- date;
- ADN amount;
- relevant screenshots/documents;
- description of the issue.
AddNeo may investigate the transaction and communicate the resolution after verification.
44. Governing Law
This Policy shall be governed by the applicable laws of India.
Nothing in this Policy limits any statutory right or remedy that cannot legally be excluded.
45. Policy Modification
AddNeo may modify, update, suspend or replace this Policy from time to time.
The latest version published on the official AddNeo website shall supersede previous versions from its effective date, subject to applicable law and any specific rights applicable to already-confirmed transactions or locked staking positions.
Users are responsible for reviewing material changes before continuing to use the ADN programme.
46. User Acceptance
By earning, holding, staking, redeeming or otherwise participating in the ADN programme, the participant confirms that they:
- have read this Policy;
- understand the ADN reward mechanism;
- understand that staking rewards are programme-based ADN rewards;
- understand that APY does not guarantee INR returns;
- understand that vendor settlement is subject to eligibility and verification;
- understand that ADN is not legal tender;
- agree to comply with AddNeo’s platform rules;
- accept applicable changes to the programme.

49. Important Website Disclaimer
ADN Token is an AddNeo ecosystem reward and utility mechanism. ADN does not represent legal tender, a bank deposit, equity, security or guaranteed investment product. Staking rewards are programme-based ADN rewards and do not guarantee any fixed INR return or appreciation. INR settlement is available only to eligible verified AddNeo vendors under the applicable Vendor Settlement Programme and is subject to transaction verification, settlement rates, limits, applicable charges, taxes and AddNeo policies.
50. Final Policy Principle
ADN is earned through genuine ecosystem participation.
ADN rewards participation.
Staking rewards long-term ecosystem engagement.
Vendors may settle qualifying ADN with AddNeo under an approved settlement programme.
No participant is promised guaranteed INR profit or token appreciation.
Transparency, verified transactions, responsible rewards and sustainable ecosystem growth shall remain the core principles of the AddNeo ADN programme.
